Trade Program Terms & Conditions

Thank you for your interest in the R.O. Studio Designer Trade Program. Please review the following terms and conditions, which outline your rights and responsibilities as a trade member. By applying to and participating in our program, you acknowledge and agree to these terms.

Eligibility

Professional Qualification: The program is open to qualified interior designers, architects, retailers, and related design professionals. Proof of business status or resale license is required.
Approval: Acceptance into the Trade Program is at the discretion of R.O. Studio. We reserve the right to approve or decline applications as needed.

Membership

Account Use: Trade accounts are intended solely for use by the approved business or individual for business-related purchases. Accounts may not be shared, transferred, or used by parties outside the approved business.
Review and Revocation: Membership is reviewed annually. R.O. Studio reserves the right to suspend or revoke trade membership at any time if terms are violated or if account misuse occurs.
Compliance: Trade members must comply with all program terms, including any updates or changes at R.O. Studio’s discretion.

Pricing & Discounts

Exclusive Trade Pricing: Members receive exclusive pricing on select products. Discount percentages may vary by category.
Resale Policy: Products purchased through the Trade Program may be resold in retail outlets, boutiques, or online shops, provided the trade member has submitted a valid resale certificate to R.O. Studio. Resellers are responsible for compliance with all applicable sales tax laws and must maintain up-to-date documentation. If you intend to resell R.O. Studio products, please supply your resale certificate with your application or before placing your first order.
Pricing Changes: R.O. Studio may update pricing or discontinue products at any time without prior notice. Pricing at the time of order placement will be honored.

Orders & Payments

Minimum Orders: There is no overall minimum order, but some products or categories may have minimum quantities, which will be specified on relevant product pages.
Payment Terms: All orders must be prepaid by credit card, bank transfer, or PayPal. Invoices are due upon receipt. Trade discounts cannot be combined with other promotions or discounts.
Order Changes & Cancellations: Orders for customized or made-to-order items can only be changed or canceled within 24 hours of placement. After this window, changes may not be possible and fees may apply.

Shipping & Delivery

Shipping Charges: Shipping costs are calculated based on order size, weight, and destination. Any additional charges for expedited or international shipping are the client’s responsibility.
Delivery Times: Estimated delivery times will be provided at order confirmation. R.O. Studio is not responsible for delays caused by carriers or unforeseen external events.
Damage in Transit: Please inspect your order upon delivery. Report any damage or discrepancies within 5 business days to qualify for replacement or credit.

Returns & Exchanges

Final Sale: All trade orders are final sale unless items arrive defective or damaged. Please notify R.O. Studio within 5 business days of receiving a damaged item for replacement or credit.
Non-Returnable Items: Custom and special-order items are not eligible for return or exchange.

Intellectual Property

Product Images & Descriptions: Trade members may use R.O. Studio product images and descriptions only to promote R.O. Studio goods in design presentations and client proposals. Any other use requires written consent.
Trademarks: The use of R.O. Studio trademarks, logos, or brand names is prohibited without prior written approval.

Modifications & Termination

Program Changes: R.O. Studio reserves the right to update, modify, or discontinue the Trade Program at any time. Members will be notified of significant changes.
Termination: R.O. Studio may terminate any trade account or the overall program at its discretion. Members will be notified if the program is discontinued.

Acceptance of Terms

By applying to the R.O. Studio Designer Trade Program and making purchases as a trade member, you agree to these terms and conditions. Failure to comply may result in suspension or termination of trade privileges.
